I took my passion more seriously around the age of 8, and am now a self-taught artist today! I mainly draw digitally, but I started off drawing traditionally just like many others. I strive to create content that is centered around my hobbies and stuff that I enjoy!I love to draw, game, watch anime, and listen to many types of music. I am mainly an O.C. and fan artist. If I'm not posting those, I'm posting commissions, gift art or art trades. I love to create for myself and others. Before starting a project, we need to make sure we are on the same page so there aren't misunderstandings and to protect against fraud, so please take some time to read through these terms! Thank you.This Terms of Service Agreement is entered into between myself and the Client for the commission of an artwork. By commissioning the me, the Client agrees to the following terms:
ENGAGEMENT
Please message me on VGen with all the details on your commission, from there on, I will decide if I can take on your commission or not.
If you do NOT have VGen, you can also email me, my email is in my carrd links.
Inappropriate/aggressive behavior of any kind will not be tolerated. Should this or a breach of the Terms of Service occur, I may stop or cancel the commission.
Poor communication may also be grounds for stopping the commission.
The client must read, understand, and agree to all the terms. By continuing with the commission and going forth with the payment, the client has agreed to the above terms.
By providing the client with a line of communication to me, the client agrees to act in a professional manner.
CONTENT RESTRICTIONS
I do not authorize, support, or make NFTs, AI, or the use of my work to feed AI machines in any way, shape, or form. If the commissioned work is found in this disposition, then you agree to have forfeited your rights to the work, and may be sued for the damage.
I will refuse any commission requests that are offensive, inappropriate, political, or hateful.
Additionally I will also refuse any requests that include, Mechs, Explicit Adult Content, Underage Characters, Incest, Excessive Muscles, Gore, or Copied Styles.
I reserve the right to refuse a commission without reason or explanation.
TIMELINE AND PROCESS
Prices are subject to change according to size, complexity, and/or detail of the piece at the discretion of myself.
A group commission must be paid for by one person in order to avoid complications and miscommunications.
If there are any delays and adjustments to the timeline, I will inform you. If the deadline is not met by 5 months or the deadline given by the client, you have the right to request a refund.
Depending on the type of commission ordered, I need anywhere from 1-4 weeks to complete each project. Timeline depends on commission type, complexity, and workload. Due to other commissions in my queue this wait time could consist of a 5 month wait. This wait time may also increase due to events outside of my control (IRL issues for example.)
If the commission is needed by a specific deadline that is communicated to me in advance, I may apply a fee.
Final prices stated by me are non-negotiable.
The client must provide clear and concise references/descriptions of their character(s) in order to avoid confusion.
Clients may request changes during the sketching process. Changes applied after this may require an extra fee based on the nature or complexity of the change (i.e. After line art, only minor revisions are allowed.)
Revisions may affect progress and timeline.
Additional charges for excessive revisions may be required.
Clients may not edit the work after final delivery unless specified in the commission information, project outlines or otherwise approved by me.
Final deliverables are provided by me using the VGen platform, email, Google Drive or similar file transfer tools, in the .PNG file format. These deliverables consist of two different pieces, watermarked (public use) & non-watermarked (private use.)
RIGHTS AND USAGE
Artist General Rights
By default, I may retain copyright, ownership, redistribution and intellectual property rights, which includes but is not limited to display, advertising, printing, the work and work in progress on websites, social media, portfolios, public broadcast channels (i.e. Twitch) and more, exempting when some or all of these rights are transferred to the client under express agreement or project specifications.
I may use rejected work in progress and versions for other projects according to their discretion, under the condition that it does not infringe the client's intellectual property rights and ownership of their likeness, character design, branding, identity design or any such trademarks.
(Optional) I may retain the non-exclusive rights to sell merchandise and prints of my work, unless exclusive commercial rights are purchased by the client.
Client Rights for Personal Use Licensed Works
Clients receive non-transferable usage rights to the work for personal use. Refer to Section 6.c. for commercial rights.
Personal use means: display on social media accounts for promotional purposes with no direct monetization or sales, such as social media profile pictures, banners, and posts; print and framing in personal spaces; display as part of designs on websites and channels, excluding use in content of these websites or channels; or any other instances where no monetization of, or of content featuring, the work is involved.
- The client must not claim work as their own and must credit me using my social username/link at the instance of display of the work or permanently on their websites, social media profiles, broadcast channels and so on where possible.
Client Rights for Commercial Use Licensed Works
Commercial usage rights are not included in general commissions, unless specified in the commission type or project specifications listed on my VGen (i.e. vtuber models, stream overlays, emotes, and so forth), or are purchased by the client and agreed upon.
- Commercial rights may differ for each commission type. Commercial broadcast rights means usage of work on streams, videos, advertisements and other content, or any similar monetized instances; commercial distribution rights means selling or reselling work to another party, as a part of any product or merchandising, or on another platform.
In the case of original design work and assets for the purpose and definition of the client's brand identity such as character design, logo design, and more, intellectual property rights of the designs and their likeness are exclusively transferred to the client for use, production and modification purposes, commercial or personal. (Please clarify in further detail for each type of work if necessary)
Usage of work for AI (artificial intelligence) tools, platforms or programs; ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited.
Additional charges will be required for commercial usage if not included in the project type, listing, or specifications, typically 2x of the original cost or more.
The commissioned piece may NOT be used for commercial purposes and cannot be redistributed or reproduced. The client may NOT make any profit off of the piece, which includes but is not limited to digital prints, physical items, etc.
If a commissioned piece is supposed to be used for commercial use, the artwork will be x2 to x3 the price depending on the usage.
I retain all rights to the piece of artwork itself, including the right to make any merchandise(only applies for fan art, or my characters.) This must be communicated with the client in advance and have the client’s full consent.
Removing any of my watermarks is a violation of these terms. I provide two versions, watermarked (PUBLIC USE) and no watermark (PRIVATE USE) Anything that will be posted on the internet publicly needs to use my watermark. Anything privately, like icons, wallpapers, etc. can use the private version.
I retain the right to crop, edit, or alter the image for promotional use.
I do not claim any rights to any intellectual property or the character(s).
The client may not alter or edit the piece of artwork itself unless I have agreed to it.
If permission has been obtained from me, the piece may be reposted to your platforms of choice so long as full credit is given to me.
The client may not claim the commissioned piece as theirs in any way, shape, or form.
The commissioned artwork may not be resold.
I am not not responsible for providing the client with a physical object, print, merchandise, etc. of the artwork, unless agreed upon in which a fee will be applied.
The client may not redistribute or sell a commission(unless commercial use fee is paid) in any way.
PAYMENTS AND FEES
Prices may vary or change depending on complexity, requirements and/or additional requests.
Once work has begun or payments have been made, the client acknowledges work and deliverables are digital and there are no physically shipped goods to receive.
Client agrees that they will not issue chargebacks and the refund policy mentioned below will be followed.
REFUNDS
No refunds are possible after I have begun the sketch and the client has approved it.
If I cannot complete work or there are delays as detailed in Section 3 for unforeseen reasons, the client may be eligible for a full refund. If work done up to this point is accepted and used by the client, I will provide a partial refund according to the amount of work completed.
If the client wishes to cancel the commission before payment, there are no repercussions. The commission will be canceled and no further action needs to be taken.
If the client wishes for a refund before beginning any work, a full refund will be provided. Please keep in mind that a refund could take a little while depending on the circumstances.
CONFIDENTIALITY: The client and I acknowledge that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information) outside of the development of work, that will not be visible to the public, shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.
INDEMNIFICATION: If the client indemnifies me against claims, losses, damages, and expenses related to work usage by the client, breach by the client of the agreement, or third-party claims.
If the client's rights and the terms of this agreement are violated or the work is not delivered as agreed, due to my negligence, I will work to remedy the situation first according to the terms aforementioned and otherwise to the satisfaction of the client.
ACCEPTANCE: Client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.
Agreement date is upon first inquiry/communication or first transaction.
